These terms govern image editing work carried out by Clipping Path Center. The two clauses most people need are ownership and revisions: you keep all rights in your images, and revisions are free where the delivered file does not match the specification agreed at quote stage.

Terms and conditions in full
1. Acceptance of terms
By accessing and using the Clipping Path Center (“CPC”, “we”, “us” or “our”) website and services, you (“Client”, “you” or “your”) agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree with any part of these terms, you must not use our services.
2. Description of service
Clipping Path Center provides outsourced image editing services including, but not limited to, clipping paths, background removal, retouching, colour correction and image manipulation.
We agree to perform these services in a professional and workmanlike manner, in accordance with the written specification agreed with the Client at the time of order. That specification is the standard against which delivered work is measured.
3. Intellectual property and confidentiality
Client ownership. The Client retains all rights, title and interest in and to the original images supplied to CPC. On full payment for the services rendered, all intellectual property rights in the final edited images vest in the Client.
Confidentiality. All images, files and information provided by the Client are confidential. We operate under a strict Non-Disclosure Agreement and will not use, share or display the Client’s images for any promotional purpose, including portfolio and social media use, without the Client’s explicit written consent.
Client warranty. The Client confirms that they hold the necessary rights in the original images supplied for editing.
4. Use of our website
You agree to use our website only for lawful purposes. You must not use the Site in any way that breaches applicable local, national or international law, or that could damage, disable or impair it. Unauthorised access, interference and data scraping are prohibited.
5. Pricing and payment
Pricing. Quotes are provided on the basis of the complexity and volume of the images submitted for evaluation. Quotes are valid for 14 days from the quote date. Work may be subject to a minimum charge as set out in the specific quote.
Payment terms. For new Clients, payment may be required [confirm: upfront, or on approval of a watermarked proof]. For established Clients, invoices are due within [number] days of delivery.
Late payment. Accounts unpaid beyond the due date may be subject to a late fee or to suspension of service. [Confirm the late fee, if any, with your legal adviser before publishing a figure.]
6. Revisions and quality assurance
We provide free revisions on delivered images where the output does not match the written specification agreed at order stage.
Revision requests should be submitted within [number] hours of delivery.
Revisions arising from a change to the project scope or to the original instructions are requoted rather than absorbed, and additional charges may apply.
7. Cancellations and refunds
Where a project is cancelled before work has commenced, a full refund is issued.
Where work has already begun, the Client is charged for the proportion of work completed at the point of cancellation.
Refunds for completed work are issued where CPC has demonstrably failed to meet the agreed specification and revisions have failed to resolve the issue.
8. Limitation of liability
To the maximum extent permitted by law, Clipping Path Center is not liable for indirect, incidental, special or consequential damages arising out of or connected with the services provided.
Our total liability for any claim arising from our services shall not exceed the amount paid by the Client for the specific project giving rise to the claim.
CPC is not responsible for files lost, corrupted or deleted on the Client’s own systems. Clients are advised to retain backups of all original files supplied.
9. Indemnification
The Client agrees to indemnify and hold harmless Clipping Path Center and its employees against any claims, damages or expenses, including legal fees, arising out of the Client’s use of the final edited images or the Client’s breach of these Terms and Conditions.
10. Changes to these terms
CPC may update or modify these Terms and Conditions. Changes are effective on publication to this page, and the “last updated” date is revised accordingly. Continued use of our services following publication constitutes acceptance of the revised terms.

11. Governing law
